Welcome to shipbob. Registered shipbob buyers will be able to enjoy the rights and privileges described in these shipbob Terms of Service (these "shipbob Terms of Service") when purchasing Marketplace Items (defined below) on shipbob from any carefully vetted participating sellers selected by shipbob (such sellers are "Marketplace Sellers" and such buyers are "Marketplace Buyers"). If you are a Marketplace Buyer, you will be deemed to have agreed to the terms and conditions described in these shipbob Terms of Service when you purchase on shipbob. Similarly, if you are a Marketplace Seller, your continued participation in shipbob will be deemed to have agreed to the terms and conditions described in these shipbob Terms of Service. These shipbob Terms of Service supplement the Terms of Service and other shipbob policies, of which these shipbob Terms of Service form a part – please read the Terms of Service and other shipbob policies available on the website as they contain important information regarding your rights and obligations. Any capitalized terms used in these shipbob Terms of Service that are not defined herein will have the meaning given to such terms in the Terms of Service and/or applicable shipbob policies. All terms and conditions described in the shipbob Terms of Service are subject to change by shipbob at its sole discretion in accordance with the Terms of Service.
1. shipbob Refund and Return Policy
1.1 Marketplace Buyers may complete a return/refund request on the Website and, in the manner described below, within seven (7) calendar days from the date the Marketplace Items were first available for pick-up by the Marketplace Buyer (the "Free Return Period"). Typically, this date is the date the Marketplace Buyer receives delivery of the Marketplace Items; however, if the Marketplace Buyer does not receive the Marketplace Items because the Marketplace Buyer did not arrive at the destination address or the Marketplace Buyer failed to enter a correct destination address, this date will be the date of the first attempted delivery.
1.2 Please note that the Marketplace Buyer must ship or deliver the Marketplace Items to the location designated by shipbob within five (5) days of making a return request, and in any event no later than the last day of the Free Return Period. All returned Marketplace Items must be returned by the courier designated by shipbob before the last day of the Free Return Period. If the Marketplace item is shipped within five (5) days of the return request being made, Shipbob reserves the right to reject any request.
1.3 Shipbob will, at its sole discretion, approve your refund and return request after reviewing the refund/return request you complete and inspecting the condition of the returned Marketplace item. Marketplace buyers acknowledge and agree that Shipbob's decision is final, decisive, and binding, and undertake and agree not to file a lawsuit or otherwise make any claim against Shipbob or its affiliates in connection with such decision. Marketplace items returned to Shipbob must meet at least the following conditions:
● New and sealed;
● Complete, containing all items purchased;
● With the original product packaging and price tags.
If any additional conditions apply to a particular Marketplace item, Shipbob will notify you via the website, SMS, or email. The return conditions for Marketplace items are referred to as the "Return Conditions."
1.4 In addition, please note that certain types of Marketplace products may be excluded from the refund and return policy described in these Shipbob Terms of Service, including:
● Digital products, such as mobile recharge cards, audio or video recordings, or software;
● Perishable products or products that may deteriorate or expire quickly, such as groceries; and
● Products that are not suitable for return due to health protection or hygiene reasons, such as cosmetics, swimwear, and lingerie.
If any Marketplace product is excluded from the refund and return policy described in these Shipbob Terms of Service, Shipbob will make reasonable efforts to post this information on our website or otherwise notify the Marketplace buyer; however, please note that our policies may change at any time without prior notice, and certain Marketplace products may be excluded after a Marketplace buyer purchases them. Any Marketplace product that is not subject to the refund and return policy described in these Shipbob Terms of Service is referred to as an "Excluded Product."
1.5 Shipbob reserves the right to: (a) add or otherwise modify the list of excluded items and/or return conditions, and (b) modify, terminate, or suspend the refund and return policy described in these Shipbob Terms of Service (including the length of the free return period), in each case, at any time and in its sole discretion.
1.6 Shipbob may, in its sole discretion, reject any returned Marketplace item (and related refund and return requests):
● It is an excluded item;
● It is not eligible for return; or
● If the Marketplace item is returned in a manner that does not comply with Section 1.2 above.
Please note that Shipbob's decision will be based on the list of terms and conditions in effect at the time the decision is made (including the list of excluded items, return conditions, and free return period), and therefore, pursuant to Section 1.5 above, such list of excluded items, return conditions, and/or the length of the free return period may differ from the provisions in effect when the Marketplace buyer completes the refund/return request and/or returns the Marketplace item.
If Shipbob denies a refund or return request, Shipbob will arrange for the item to be shipped to the relevant buyer's address to which the item was originally delivered, and Shipbob will be entitled to claim any costs incurred in returning the item to the buyer.
1.7 If Shipbob suspects a user of abusing the refund and return policies described in these Shipbob Terms of Service, Shipbob reserves the right to terminate the user's access to Shipbob and, if Shipbob deems appropriate, impose penalties (including recouping any fees or charges incurred as a result of such abuse).
1.8 The refund and return policies for Marketplace items described in these Shipbob Terms of Service are in addition to the general refund and return policies described in the Refund and Return Policy. In the event of any inconsistency, the refund and return policies for Marketplace items described in these Shipbob Terms of Service will prevail.
2. Marketplace Seller Terms and Conditions
2.1 If you are a Marketplace Seller, you should have received a separate written notice from Shipbob informing you of your choice to participate in Shipbob. If at any time you decide not to participate in Shipbob, please notify Shipbob in writing. Otherwise, you will be deemed to have chosen to continue participating in Shipbob and agree to the terms and conditions set forth in these Shipbob Terms of Service.
2.2 Each Marketplace Seller warrants that the Marketplace Products offered on Shipbob and actually delivered to Marketplace Buyers (a) conform to (i) applicable laws and (ii) the specifications listed on the Website (and provided to Marketplace Buyers), including any and all product warranties, specifications, drawings, samples, performance standards, and all applicable quality, safety, and sanitation requirements, and (b) are free from defects. Each Marketplace Seller understands and agrees that it will be responsible for any nonconformity or defects in any Marketplace Item, or any public or private recall, and will hold Shipbob harmless from any losses related to the foregoing.
2.3 If a Marketplace Seller is found to be offering or selling any Marketplace Items on Shipbob that are subject to Shipbob's Prohibited and Restricted Items Policy, Shipbob reserves the right, at its sole discretion, to remove the offending Marketplace Items from Shipbob and issue refunds (and any adjustments) to any Buyer who has purchased such Products (even if the Buyer has not complied with any of the requirements set forth in Section 1 above). In such event, the Seller agrees to reimburse Shipbob for all such refunds (including any refund-related costs and expenses) and authorizes Shipbob to deduct such amounts from any amounts due to the Seller or to take such other action as Shipbob deems appropriate in its sole discretion.
2.4 Shipbob's decision to approve a refund or return pursuant to Section 1 above shall be binding on the relevant Seller. Sellers agree to comply with and take all necessary measures to implement any refund or return request from a Buyer approved by Shipbob.
2.5 For any refund or return request approved by shipbob, shipbob will arrange for the relevant returned Marketplace Product to be shipped to the address provided in writing by the relevant Marketplace Seller to shipbob to complete the refund and return process, at no additional charge to the Marketplace Seller, as long as such address is located in the country/region where the relevant Marketplace Product is listed for sale on the Website ("Local Address"). If the Marketplace Seller fails to provide a Local Address for the return of the returned Marketplace Product, or fails to accept delivery of the returned Marketplace Product within a reasonable period (as determined by shipbob), shipbob reserves the right to dispose of the returned Marketplace Product in any manner it deems appropriate, and the Marketplace Seller shall be deemed to have waived all rights to such Marketplace Product.
2.6 Notwithstanding the foregoing, at shipbob's sole discretion, a Marketplace Product approved for a refund or return shall not be returned to the Marketplace Seller, and the Marketplace Seller shall be deemed to have waived all rights to such Marketplace Product.
2.7 For any refund or return of the relevant Marketplace item that Shipbob receives but Shipbob rejects, Shipbob will arrange for the shipment of the item to the relevant Marketplace buyer's address in accordance with Section 1.6 above.
2.8 If Shipbob approves any refund or return request, the seller may appeal the decision by contacting Shipbob and providing supporting evidence. If Shipbob upholds the seller's appeal, it will pay the seller all or part of the buyer's purchase price. The seller acknowledges and agrees that Shipbob's decision is final, conclusive, and binding, and covenants and agrees not to file any lawsuit or otherwise assert any claim against Shipbob or its affiliates in connection with such decision.
3. Shipbob's 100% Authentic Product Policy
3.1 All products listed by sellers must be 100% authentic.
3.2 Counterfeit products are prohibited from listing on Shipbob. The term "counterfeit products" includes products that completely imitate existing brands with the intent to deceive or defraud, and may include, but are not limited to:
● Products that violate the laws of the country in which they are sold;
● Products that are counterfeit or imitations of existing official products;
● Products that have never been produced by a specific brand;
● Products that are significantly underpriced;
● Products that contain a registered trademark on the product, packaging, or anywhere else associated with the product without the trademark owner's authorization;
● Products that contain specific design elements protected by a trademark (such as cartoon characters or color schemes) without the trademark owner's authorization;
● Products that bear a resemblance to other products (such as replicas of branded products with or without altered logos) without the trademark owner's authorization;
● Products that have no obvious trademarks in product images, but are delivered with trademarks; and
● The use of photos containing brand trademarks in listings.
3.3 Original Equipment Manufacturer ("OEM") branding is permitted, provided that no official brand logo appears on any OEM product images and the official brand name is not mentioned in any part of the product information.
3.4 Upon request by shipbob, the Marketplace Seller shall promptly provide shipbob with documentation proving (to shipbob's reasonable satisfaction) the authenticity of the Marketplace Products, including but not limited to manufacturer's sales invoices, authorized distribution agreements, and/or certificates of authenticity ("Certificate of Authenticity").
3.5 If the Marketplace Seller fails to provide the Certificate of Authenticity, the Marketplace Seller shall:
(a) accept the returned Marketplace Products; and
(b) be responsible for indemnifying shipbob for any other costs, expenses, losses, and liabilities (including but not limited to loss of goodwill) suffered or incurred by shipbob as determined by shipbob in its sole discretion.
3.6 If shipbob determines, in its sole discretion, that the Marketplace Seller has violated Section 3, shipbob may take all appropriate measures, including but not limited to removing the counterfeit Marketplace Product listings from the Website, prohibiting the posting of identical or similar products, and/or restricting, suspending, or terminating the Marketplace Seller's shipbob account and/or access to shipbob. The obligations and responsibilities of the Marketplace Seller under these Terms of Service will not be affected by the restriction, suspension, or termination of the Marketplace Seller's account.
4. Shipbob Commission Fees
4.1 Shipbob charges a fee (the "Shipbob Commission") for all successful transactions completed by Marketplace Sellers on the Website. The Shipbob Commission is borne by the Marketplace Seller and is calculated as (a) two percent (2%) of the Total Settlement Price for sales of electronics products (e.g., audio, cameras and drones, computers and accessories, and games); (b) three percent (3%) of the Total Settlement Price for sales of fast-moving consumer goods (e.g., beauty, food and beverages, health supplements, baby and maternity products, pets, home & living - home fragrance and aromatherapy, and home & living - home care products); and (c) five percent (5%) of the Total Settlement Price for sales of any other products not otherwise specified in this Agreement. The Total Settlement Price is the original listed price of the Seller's item, less any discounts or coupons sponsored by the Marketplace Seller, rounded to the nearest peso. For the avoidance of doubt, the classification of items set forth in Section 4.1 (a), (b), or (c) above shall be determined by Shipbob in its sole discretion. Shipbob's commission includes VAT. Shipbob will issue a Shipbob commission receipt or tax invoice after the Marketplace Seller submits proof of registration to the IRS.
4.2 Upon successful completion of a transaction, Shipbob will deduct the Shipbob commission from the Buyer's purchase price and remit the remaining balance to the Marketplace Seller in accordance with Section 11.2 of the Terms of Service.
4.3 For the avoidance of doubt, the Shipbob commission under these Shipbob Terms of Service shall apply in addition to the transaction fee under these Terms of Service.
5. Shipbob Formula Milk Guarantee
5.1 The Shipbob Formula Milk Guarantee Program is
5.2 Marketplace Buyers may apply for a refund and return if any purchased Eligible Formula Milk Product: (a) does not comply with the shipbob 100% authentic product policy in Section 3 above; or (b) the Eligible Formula Milk Product has an expiration date of less than six (6) months from the date of the first attempted delivery of such Eligible Formula Milk Product (the "Freshness Guarantee").
5.3 If an Eligible Formula Milk Product does not comply with the shipbob 100% authentic product policy in Section 5.2(a) above, the affected Marketplace Buyer shall be refunded 200% of the Buyer's purchase price, and (b) the Freshness Guarantee in Section 5.2(b) above, the affected Marketplace Buyer shall be refunded 100% of the Buyer's purchase price. All refunds shall be made by the same method used for original payment, unless the payment method was cash on delivery, in which case the refund will be made to the Marketplace Buyer's e-wallet.
5.4 Shipbob reserves the right, in its sole discretion and without prior notice, to deny, reject, or exclude any claims submitted by Marketplace Buyers under this Shipbob Milk Powder Guarantee, including (but not limited to) refund and return claims for incomplete, incorrect, non-compliance with or non-performance of any applicable terms, or attempted damage or tampering with eligible milk formula products. Shipbob reserves the right not to disclose the reasons for unsuccessful claims. No correspondence will be entertained.
5.5 All decisions of Shipbob regarding this Shipbob Milk Formula Guarantee are final and binding, including but not limited to the determination of eligible claimants, the number of submissions submitted by each claimant, the clarity of photos and submissions, time and date cutoffs, limitations of this Shipbob Milk Formula Guarantee, and the maximum refund amount.
